By using the Services, you acknowledge:

  • You may be interacting with an AI system rather than a human

  • AI-generated outputs may be inaccurate, incomplete, or inappropriate

  • You are responsible for verifying information before relying on it

We do not guarantee any specific results or outcomes from AI systems.

3. Communications & Consent

By providing your contact information or using our Services, you consent to:

  • Receiving communications from us, including calls, texts, or emails

  • Communications generated or assisted by automated systems

  • The recording and transcription of communications

Consent is not a condition of purchase.

4. Call Recording & AI Disclosure

You acknowledge and agree that:

  • Calls may be recorded and monitored

  • AI systems may participate in or conduct communications

  • Recorded data may be used for quality assurance, training, and operational purposes

If you do not consent, do not use the Services.

5. Client Responsibilities (AI Agent Users)

If you purchase, deploy, or use AI systems provided by us:

You are solely responsible for:

  • Complying with all applicable laws (including TCPA, call recording, and disclosure laws)

  • Providing required disclosures to end users

  • Obtaining any necessary consent before contacting individuals

  • Ensuring your use of AI systems is lawful and non-deceptive

You agree not to use the Services for:

  • Spam or unsolicited mass communications without proper consent

  • Misrepresentation or impersonation

  • Any unlawful or abusive activity

We are not responsible for how clients use deployed AI systems.

6. Third-Party Services

Our Services may rely on third-party providers (including AI, hosting, and communications platforms).

We are not responsible for:

  • Failures or downtime caused by third parties

  • Changes to third-party services

  • Data handling practices of third parties

Your use of third-party services may be subject to their terms.

7. Intellectual Property

All content, systems, and materials provided by the Company are owned by Red Matter Architecture Inc. or its licensors.

You may not:

  • Copy, reproduce, or distribute materials without permission

  • Reverse engineer or attempt to extract underlying systems

  • Use Company branding without authorization

8. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

We disclaim all warranties, including:

  • Uninterrupted or error-free service

  • Fitness for a particular purpose

9. Limitation of Liability

To the maximum extent permitted by law:

Red Matter Architecture Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including:

  • Lost profits

  • Business interruption

  • Loss of data

  • Damages arising from AI-generated communications

Our total liability shall not exceed the amount paid (if any) for the Services.

10. Indemnification

You agree to defend, indemnify, and hold harmless Red Matter Architecture Inc. from any claims, damages, or liabilities arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your use or deployment of AI systems

11. Termination

We may suspend or terminate access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

13. California Users

If you are a California resident, you may have additional rights under applicable consumer protection laws.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

15. Service Scope Disclaimer

We provide technology tools and AI systems.

We do not:

  • Act as a call center, legal advisor, or licensed professional service

  • Guarantee regulatory compliance on your behalf

  • Monitor or control how clients use deployed systems
